At Odontware, we engineer high-availability architecture designed to maintain constant clinical uptime. These Terms of Service (ToS) are carefully constructed to protect the integrity of our cloud networks, define clear service boundaries, and ensure a secure operational environment for your medical practice without hidden legal traps.
1. Ratification & Binding Agreement
This document constitutes a legally binding contract between you (the "Clinic", "User", or "Data Controller") and Odontware (the "Provider", "SaaS Platform"). By provisioning an account, triggering the onboarding sequence, or authorizing API transmissions via our platform, you explicitly ratify and agree to be bound by these Terms.
If you lack the requisite authority to bind the corporate clinic entity to these terms, or if you refuse to accept these technological conditions, you are legally prohibited from executing initialization or utilizing our software assets.
2. Workspace Governance & Identity Liabilities
Your clinical workspace operates as an isolated digital tenant. As the Master Administrator, you hold total operational command and subsequent liability for your domain.
- Delegation & Staff Action: You maintain strict liability for any internal actions executed by secondary personnel (Receptionists, Auxiliary Doctors) to whom you delegate RBAC credentials. Odontware is immune to damages resulting from internal employee sabotage or unauthorized credential sharing.
- Credential Sovereignty: You are obligated to implement complex cryptographic passwords and enforce Two-Factor Authentication (2FA) across your clinic. Account compromise due to negligent password handling rests entirely with the clinic administrator.
- Regulatory Truth: Providing fabricated BMDC (or equivalent) registration vectors during onboarding is a severe breach of this contract and will trigger immediate, irreversible workspace suspension.
3. Clinical Output & Absolute Medical Disclaimer
The Odontware architecture is strictly a technological vector (Software-as-a-Service). It provides relational tracking tools, automated odontograms, and PDF compilation pipelines.
- No Algorithmic Diagnosis: The system does not, under any circumstances, generate medical diagnoses, treatment recommendations, or therapeutic advice. All output is strictly a digital reflection of the doctor's manual input.
- Total Practitioner Liability: The attending medical professional retains exclusive and absolute responsibility for patient outcomes, prescription accuracy (including dosages), and pharmaceutical safety verifications (e.g., pregnancy or allergy checks).
- Immunity from Medical Malpractice: Odontware, its engineers, and its corporate entity shall be held completely harmless and indemnified against any claims of medical malpractice, wrongful death, or diagnostic errors originating within a subscribed workspace.
4. Subscription Ledger, Quotas & Financial Obligations
Continuous access to the isolated compute clusters is dependent upon maintaining an active, non-delinquent financial subscription.
- Pre-Paid Execution: Cloud resources are leased via monthly or annual cycles and are strictly billed in advance. Upon the expiration of a cycle, the system will apply a brief grace period before automatically transitioning the workspace into a rigid "Read-Only" state.
- Add-on Architecture: Should your clinic exceed structural limits (e.g., Cloud Media Vault GB constraints or Inode limits), operations may halt until expansion blocks (Add-ons) are secured. Add-ons are non-refundable parallel subscriptions tied to your primary billing epoch.
- Zero-Refund Policy: Due to the immediate deployment of dedicated database shards and isolated cloud storage nodes, all fiat or tokenized payments dispatched to Odontware are absolute, final, and non-refundable—even in the event of early operational termination by the user.
5. Fair Usage Policy (FUP) & Resource Protection
To prevent localized server congestion and protect the SaaS multi-tenant environment, "Unlimited" parameters are governed by a strict Fair Usage framework.
- Organic Operational Load: "Unlimited Patients" or "Unlimited Appointments" is defined as volume organically generated by a single physical/legal clinic entity. Utilizing one subscription to run multi-branch operations, franchise chains, or distinct third-party clinics is a severe violation.
- Automated Abuse: The deployment of automated scraping bots, scripted API flooding, or stress-testing against your workspace is strictly prohibited and will trigger an automated firewall block.
- Intervention Protocol: If our telemetry identifies resource consumption exceeding the 99th percentile of standard enterprise loads, we reserve the right to throttle bandwidth, temporarily limit upload sizes, or mandate a transition to a custom dedicated-cluster contract.
6. Intellectual Property & Code Sovereignty
Access to the platform does not constitute a transfer of ownership or code sovereignty.
- Proprietary Assets: All backend algorithms, interactive SVG odontogram matrices, frontend Glassmorphism UI components, CSS frameworks, and API endpoints remain the exclusive Intellectual Property (IP) of Odontware.
- Prohibited Vectors: You are strictly forbidden from attempting to reverse-engineer, decompile, clone, or duplicate the software architecture to build a competing SaaS platform. Doing so will result in immediate termination and aggressive legal pursuit for intellectual property infringement.
Your Data Belongs to You
While we own the software code, you hold absolute, undisputed ownership of the patient data, financial ledgers, and clinical media uploaded into your workspace. We act solely as the technical processor of your assets.
7. Right of Termination & Data Isolation Protocol
We believe in maintaining a clean and secure ecosystem. Termination of access may occur under specific vectors.
- Voluntary Exit: You possess the right to terminate your subscription via the Billing portal at any instance. Post-termination, the system will freeze state mutations while maintaining historical read access until final account purge.
- Provider Termination: We reserve the right to suspend or entirely terminate access to the workspace without prior notification if we detect illegal pharmaceutical trafficking, critical FUP violations, fraudulent BMDC data, or attempts to compromise server arrays.
8. SLA (Service Level) & Modification of Terms
While we deploy extreme High-Availability (HA) protocols and distributed cloud redundancies, Odontware does not offer an absolute 100% uptime guarantee due to unforeseeable upstream ISP outages or major cloud provider blackouts. We maintain a 99.9% target SLA.
We reserve the continuous right to refine our infrastructure, push UI upgrades, or alter these Terms of Service to match evolving legal tech compliance laws. Significant modifications to this charter will be timestamped, and continued utilization of the software signifies your binding acceptance.
